1. ACCEPTANCE OF TERMS
By creating an account and using Kodra ("the App"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
2. DESCRIPTION OF SERVICE
Kodra is a revolutionary Kenyan startup marketplace that operates on a zero-commission model. We connect customers with vendors for authentic products, thrift finds, electronics, and delivery services. Unlike traditional platforms, vendors keep 100% of their sales while Kodra provides free logistics through our in-house delivery service, Kodra Logistics.
Our Mission: To empower Kenyan entrepreneurs by providing a commission-free platform while creating employment opportunities through our unique affiliate-to-employee program.
3. USER ACCOUNTS
Account Types: Customer accounts and Vendor accounts are available for public registration. Employee and Rider accounts are created exclusively by administrators.
Account Security: You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately of any unauthorized access.
Accurate Information: You must provide accurate, current, and complete information during registration and keep it updated.
4. USER CONDUCT
You agree NOT to:
- Use the App for any illegal or unauthorized purpose
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the service
- Create fake accounts or impersonate others
- Engage in fraudulent activities
- Harass, abuse, or harm other users
5. VENDOR RESPONSIBILITIES
KYC Verification: Vendors must complete Know Your Customer (KYC) verification including government-issued ID and business documentation.
Product Authenticity: Vendors guarantee the authenticity and quality of their products.
Order Fulfillment: Vendors must fulfill orders promptly and accurately.
Customer Service: Provide adequate customer support for their products.
6. RIDER AND EMPLOYEE TERMS
Admin-Only Creation: Only administrators can create Rider and Employee accounts.
Post-Promotion KYC: Upon promotion to Rider or Employee roles, users must complete additional KYC verification including role-specific documentation.
Performance Standards: Employees and Riders must maintain performance standards as outlined in their role requirements.
6A. AFFILIATE PROGRAM
Program Overview: Kodra operates a unique affiliate program where top performers are offered employment opportunities.
Monthly Employment: The top 3 performing affiliates each month are invited to join Kodra's marketing team as full-time employees.
Performance Metrics: Affiliate rankings are based on sales generated, customer acquisition, and engagement metrics.
Employment Terms: Affiliates who become employees are subject to standard employment contracts and company policies.
Fair Competition: All affiliates have equal opportunity to compete for monthly employment positions.
7. SECURITY AND PRIVACY
Security Monitoring: We employ advanced security monitoring to detect threats and malicious activities.
Emergency Protocols: In case of critical security alerts, the system may automatically:
- Activate maintenance mode
- Log out all users except main administrators
- Suspend suspicious accounts
- Block harmful activities
Data Protection: We implement industry-standard security measures to protect user data.
8. PAYMENT AND TRANSACTIONS
- All payments are processed securely through our integrated payment systems
- Zero Commission Model: Vendors receive 100% of their sales - Kodra charges no commission fees
- Kodra Logistics provides free delivery services at no cost to vendors or customers
- Refunds are subject to our refund policy and vendor agreements
9. INTELLECTUAL PROPERTY
- The Kodra app, logo, and all related content are our intellectual property
- Users retain ownership of their uploaded content but grant us license to use it for service provision
- Respect third-party intellectual property rights
10. PROHIBITED CONTENT
Users may not upload, post, or transmit:
- Illegal, harmful, or offensive content
- Copyrighted material without permission
- False or misleading product information
- Spam or unsolicited communications
- Content that violates others' privacy
11. MAINTENANCE AND AVAILABILITY
- We strive for 99.9% uptime but may perform scheduled maintenance
- Emergency maintenance may occur without notice for security reasons
- We are not liable for losses due to service interruptions
12. LIMITATION OF LIABILITY
Kodra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or related to your use of the service.
13. INDEMNIFICATION
You agree to indemnify and hold harmless Kodra from any claims, damages, or expenses arising from your use of the service or violation of these terms.
14. TERMINATION
- We may terminate or suspend accounts that violate these terms
- You may delete your account at any time through the app settings
- Upon termination, access to the service will be revoked
15. GOVERNING LAW
These terms are governed by the laws of Kenya without regard to conflict of law principles.
16. CHANGES TO TERMS
We reserve the right to modify these terms at any time. Users will be notified of significant changes and continued use constitutes acceptance of modified terms.
