Terms of Service

These Terms of Service ("Terms") govern your use of the apps and websites operated by Kodra Holdings Limited ("Kodra Holdings", "we", "us"). Please read them carefully.
1. Acceptance
By accessing or using any Kodra Holdings app or website — including Haooze, Echo, Kodra Sal Stylist, Angaza Smartfarm, 75 Hard Tracker, and kodraholdings.com — you agree to be bound by these Terms. If you do not agree, do not use the services.
2. Eligibility
You must be at least 13 years old to use our services (16 in the European Economic Area). You must have the legal capacity to enter into a contract under the laws of your country of residence. If you are using a service on behalf of an organization, you confirm that you have the authority to bind that organization.
3. Your account
You are responsible for safeguarding the credentials used to access your account, and for all activity that occurs under your account. You agree to:
- Provide accurate information when you sign up
- Keep your credentials confidential
- Not impersonate any person or entity
- Maintain one account per person, unless we explicitly allow otherwise
- Notify us promptly of any unauthorized access
We may suspend or terminate accounts that violate these Terms, that are inactive for an extended period, or that pose a risk to other users or our services.
4. Acceptable use
You agree not to:
- Use the services for any illegal purpose, or to promote illegal activity
- Post content that is unlawful, infringing, defamatory, harassing, or hateful
- Scrape, crawl, or harvest content other than as expressly permitted
- Reverse-engineer, decompile, or attempt to extract source code
- Automate account creation, listings, or submissions
- Interfere with the operation of the services, including denial-of-service attempts
- Use the services to harass, threaten, or harm other users
- Bypass security controls or access data you are not authorized to access
5. User content
You retain ownership of the content you post or upload (photos, listings, messages, fitness logs, posts). By submitting content, you grant Kodra Holdings a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute that content for the purpose of operating and improving the services, and to use anonymized and aggregated derivatives for product improvement consistent with our Privacy Policy.
You represent that you have the right to grant this license, and that your content does not violate any third-party rights. We may remove content that we reasonably believe violates these Terms or applicable law.
6. Subscriptions and payments
Some Kodra Holdings apps offer paid features or subscriptions. Billing is handled by Apple App Store, Google Play, or Stripe.
- Subscriptions automatically renew until you cancel
- You can manage and cancel subscriptions through the platform that processed the purchase
- Refunds follow the policy of the platform that processed the purchase (Apple, Google, or Stripe)
- Prices and features may change with prior notice
7. Intellectual property
Kodra Holdings, the Kodra wordmark, and each product name and logo (Haooze, Echo, Kodra Sal Stylist, Angaza Smartfarm, 75 Hard Tracker) are owned by Kodra Holdings Limited. You may not use them without our prior written consent, except as required to reference our services accurately.
User content is the property of the user who created it, subject to the license granted in Section 5.
8. Third-party services
Our services may link to or integrate with third-party services (payment processors, identity providers, AI providers). We are not responsible for the content or practices of those third-party services. Their terms and policies apply when you use them.
9. Disclaimers
The services are provided "as is" and "as available" without warranties of any kind, whether express or implied. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, Kodra Holdings will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
Our total liability for any claim arising out of or relating to these Terms or the services is limited to the amount you paid Kodra Holdings in the 12 months preceding the event that gave rise to the claim, or USD 100 if you have not paid us anything.
11. Indemnification
You agree to indemnify and hold Kodra Holdings, its officers, employees, and agents harmless from any claim or demand made by a third party due to or arising out of your breach of these Terms, your content, or your violation of any law or the rights of a third party.
12. Termination
You may stop using the services at any time. We may suspend or terminate your access if we reasonably believe you have violated these Terms, or to protect other users, our services, or third parties. Sections covering intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.
13. Governing law
These Terms are governed by the laws of the Republic of Kenya, without regard to its conflict-of-laws principles. This section is a placeholder pending confirmation with counsel — if you are using the services from outside Kenya, mandatory local consumer protections continue to apply to you.
14. Dispute resolution
We prefer to resolve disputes amicably. Before filing any formal claim, please contact us at legal@kodraholdings.com and give us 30 days to attempt a resolution in good faith.
If we cannot resolve the dispute, it will be referred to arbitration seated in Nairobi, Kenya, conducted in English, under the rules of the Nairobi Centre for International Arbitration — subject to your mandatory local consumer rights.
15. Changes
We may update these Terms from time to time. We will post the updated version here with a new "Last updated" date, and notify users in-app for material changes. Continued use after changes become effective constitutes acceptance.
